Terms & Conditions

1. Acceptance

By accessing freshcodes.net or engaging FreshCodes Technology for services, you agree to these terms. Individual projects are governed by a signed proposal or master services agreement, which prevails over these general terms where they conflict.

2. Services

FreshCodes provides software design and development services including AI agent development, AI/ML integration, web and mobile application development, SaaS development, data engineering, and cloud/DevOps. Scope, timelines, and fees are defined per project in a written proposal.

3. Client responsibilities

You agree to provide timely access to information, systems, content, and decision-makers required to deliver the project, and to ensure you have the rights to any materials you supply.

4. Fees and payment

Unless otherwise agreed, projects are billed in milestones or monthly sprints. Invoices are payable within 15 days. Late payments may pause work and accrue interest at the lawful rate. Third-party costs (cloud hosting, AI model usage, app store fees, licences) are passed through at cost unless included in the proposal.

5. Intellectual property

On full payment, you own the custom code, designs, and deliverables created specifically for your project. FreshCodes retains ownership of pre-existing tools, frameworks, and reusable components, which are licensed to you on a perpetual, royalty-free basis for use in the deliverables. Open-source components remain subject to their own licences.

6. AI-specific terms

AI systems produce probabilistic outputs. FreshCodes will implement agreed guardrails, evaluation, and human-review mechanisms, but does not guarantee that AI outputs will be error-free. You are responsible for how AI features are used within your business and for compliance with laws applicable to your industry.

7. Confidentiality

Both parties will keep the other's non-public information confidential and use it only for the project. This obligation survives termination for three years, or indefinitely for trade secrets.

8. Warranties and liability

We warrant that services will be performed with reasonable skill and care and that deliverables will materially conform to the agreed specification for 30 days after acceptance. To the maximum extent permitted by law, our total liability for any project is limited to the fees paid for that project, and we are not liable for indirect or consequential losses.

9. Termination

Either party may terminate a project with 15 days' written notice. You will pay for work completed to the termination date, and we will hand over all paid-for deliverables.

10. Website use

Content on freshcodes.net is for general information. You may not copy, scrape, or reuse site content without permission, or attempt to interfere with the site's operation.

11. Governing law

These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. Disputes will first be addressed in good faith between the parties before any legal proceedings.
